The existence of the following terms and conditions constitutes proof of terms between StrageiX Insights and Patriot Coatings LLC (“Patriot Coatings”). By accessing or using the website at patriotcoatings.com, Patriot Coatings LLC, its owners, its operators, its workers, its GMs in any location, or any subsidiary company within agrees to the following terms and conditions regarding its design and content:

StrageiX Insights, a small private company specializing in business development and online presence (the “Designer”), rebuilt and redesigned the website patriotcoatings.com and all its subpages.

All pages, content, and designs created during the rebuild/redesign are the sole property of the Designer.

Images provided by Patriot Coatings are used within the website with permission. These images remain the property of Patriot Coatings and are not owned by the Designer.

StrageiX Insights was in the process of official formation during the website rebuild. By including this information in this terms, Patriot Coatings is considered to have been informed of this status during the project timeline.

The Designer, as the owner of StrageiX Insights, also works for Patriot Coatings in an individual capacity. The website reversion described in these terms applies only in the event of the termination of the Designer as an individual employee of Patriot Coatings, and not as it pertains to StrageiX Insights as a company.

Ownership and Reversion

In the event of termination of the Designer’s services or employment with Patriot Coatings LLC in their capacity as an individual employee, the website will revert to its last known content and design prior to the rebuild/redesign. The previous design and content will revert back within 30 days of the written notification of termination.

The rebuild and redesign of the website were fully funded by the Designer without reimbursement from Patriot Coatings.

The content, pages, or designs created by the Designer are not to be used outside of the agreed-upon website and its subpages without express permission from the Designer.

All SEO work completed as part of the website rebuild and continual SEO work through third party assistance is considered an edit made by StrageiX Insights. Should the website revert to its prior state, all SEO work, including paragraph content, keywords, meta tags, and optimizations, will also revert to the previous form.

Limitations of Liability

Patriot Coatings LLC, its owners, its operators, its workers, its GMs in any location, or any subsidiary company within agree not to pursue legal action against the Designer, the owner of StrageiX Insights, the Designer as an employee of Patriot Coatings, or any other person involved with StrageiX Insights regarding the website’s content, design, or functionality.

The Designer will not be held liable for any loss of data, revenue, or functionality resulting from the termination of these terms or reversion of the website to its previous state prior to the rebuild.

Patriot Coatings LLC, its owners, its operators, its workers, its GMs in any location, or any subsidiary company within agree not to pursue legal action if the current web design owned by StrageiX Insights reverts back to its previous form for any reason, regardless of the circumstance or time frame.

Patriot Coatings LLC, its owners, its operators, its workers, its GMs in any location, or any subsidiary company within agrees not to pursue legal action against the Designer, the owner of StrageiX Insights, the Designer as an employee of Patriot Coatings, or any other person involved with StrageiX Insights regarding the website’s content, design, or functionality.

The Designer will not be held liable for any loss of data, revenue, or functionality resulting from the termination of these terms or reversion of the website to its previous state.

The Client acknowledges that correspondence and updates regarding the website may have been provided by the owner of StrageiX Insights while using a Patriot Coatings email address. Regardless of the number of correspondences or their recipients, whether internal or external to Patriot Coatings, the Client agrees that such work was performed during the owner’s free time, outside the scope of their employment, at the StrageiX Insight’s owners expense, and without reimbursement from Patriot Coatings.

Patriot Coatings LLC, its owners, its operators, its workers, its GMs in any location, or any subsidiary company within agree not to pursue legal action against the Designer, the owner of StrageiX Insights, the Designer as an employee of Patriot Coatings, or any other person involved with StrageiX Insights regarding the website’s content, design, or functionality.

The Designer will not be held liable for any loss of data, revenue, or functionality resulting from the termination of these terms or reversion of the website to its previous state.

Patriot Coatings LLC, its owners, its operators, its workers, its GMs in any location, or any subsidiary company within agree not to pursue legal action if the current web design owned by StrageiX Insights reverts back to its previous form for any reason, regardless of the circumstance or time frame.

Patriot Coatings LLC, its owners, its operators, its workers, its GMs in any location, or any subsidiary company within agrees not to pursue legal action against the Designer, the owner of StrageiX Insights, the Designer as an employee of Patriot Coatings, or any other person involved with StrageiX Insights regarding the website’s content, design, or functionality.

The Designer will not be held liable for any loss of data, revenue, or functionality resulting from the termination of these terms or reversion of the website to its previous state.

Intellectual Property

The Designer retains all intellectual property rights to the website’s content, design, and structure, excluding any images or materials provided by Patriot Coatings. Ownership of the website’s design, structure, and SEO edits remains solely with StrageiX Insights unless otherwise specified in writing and agreed upon by both parties. No part of the website’s content or structure transfers to Patriot Coatings without explicit, documented consent.

Any new page created for Patriot Coatings using templates, structures, or designs originally developed by StrageiX Insights will remain part of the overall design framework owned by StrageiX Insights. These pages, as extensions of the existing design, fall under the same terms of ownership and usage outlined in this document.

Disclaimer: The copyright notice at the bottom of the page (© 2024 Patriot Coatings LLC. All Rights Reserved. or any year it is updated to) primarily applies to the ownership of Patriot Coatings’ name, brand identity, and images they provided. However, it does not supersede the terms and conditions outlined in the terms, especially where ownership of the website’s design, content, and structure is explicitly assigned to StrageiX Insights.

To avoid any confusion or potential conflict, the terms and conditions already clarify that the website design and content created by StrageiX Insights are owned by the Designer. Additionally, the terms specifies that images provided by Patriot Coatings remain their property. As long as these terms are properly displayed and agreed upon, the copyright notice does not give Patriot Coatings legal ownership of the website design, structure, or content.

The Designer retains all intellectual property rights to the website’s content, design, and structure, excluding any images or materials provided by Patriot Coatings.

Third-Party Contributions

Certain elements of the website rebuild and redesign were outsourced to Key Marketing Strategies, whose role was limited to providing contracted services under the direction and funding of the Designer (StrageiX Insights). 

Key Marketing Strategies has agreed through their final invoice that the design and content created during their involvement will revert to its original form prior to the rebuild, should any termination occur.

Key Marketing Strategies retains no ownership rights over the website design, content, or structure, as these remain the sole property of StrageiX Insights.

Payment for all outsourced work was made by the Designer out of their own funds, without reimbursement from Patriot Coatings.

Separation of Maintenance and Design
Patriot Coatings LLC’s monthly payments to Key Marketing Strategies cover routine maintenance, including updates to core files, plugins, and security measures. These services do not involve or alter the design, content, or ownership of the website, which remains exclusively under StrageiX Insights as outlined in these terms.

Indemnification

Patriot Coatings LLC, its owners, its operators, its workers, its GMs in any location, or any subsidiary company within agrees to indemnify and hold harmless the Designer and StrageiX Insights from any claims, damages, or liabilities arising from the use, termination, or operation of the website.

Governing Law

Regardless of the governing jurisdiction, Patriot Coatings LLC, its owners, its operators, its workers, its GMs in any location, or any subsidiary company within agree not to pursue any legal action against the Designer, StrageiX Insights, or any of its representatives under any circumstance or time frame.

These terms, published on the website, constitute proof of understanding between StrageiX Insights and Patriot Coatings. Owners of Patriot Coatings notified and provided an opportunity to review the terms and content. Lack of objections or edits constitutes acknowledgment and acceptance of these terms.

StrageiX Insights reserves the right to update these terms as needed. Any revisions will be communicated to Patriot Coatings, and continued use of the website constitutes acknowledgment and acceptance of the updated terms.
